Master Software License Agreement

Interaction Archive Player • Version 2026.1

This License Agreement (the "Agreement") is a legal agreement between You (either an individual or an entity) and Interaction Solutions Pty Ltd ("Interaction Solutions"). By using the Interaction Archive Player (the "Software"), you acknowledge that you have read, understood, and agreed to be bound by the terms herein.

1. Definitions

1.1 "Software"

Means the Interaction Archive Player application, including all updates, patches, and documentation provided by Interaction Solutions.

1.2 "Customer Data"

Means all data, content, and information provided by the Licensee or any third party on the Licensee's behalf during the use of the Software.

1.3 "Licensee"

Refers to the party (individual or entity) that has properly acquired the right to use the Software.

1.4 "Maintenance"

Means the technical support and software updates provided under the terms of a current Maintenance Agreement.

3. License Grant and Restrictions

Interaction Solutions grants you a non-exclusive, non-transferable, limited license to use the Software for your internal business purposes. Licensee shall not and shall not permit any third party to:

4. Maintenance and Support

Maintenance is mandatory for all production environments. Interaction Solutions provides two tiers of professional support as detailed in our Support Portal:

4.1 Standard Support

Includes email-based technical support, access to software releases, and standard documentation.

4.2 Premium Support

Includes priority response times, direct release access, and scheduled technical sessions via Zoom/Teams.

5. Billing and Payment

All fees are billed annually in advance via Genesys Billing. Fees are exclusive of any taxes, which shall be the responsibility of the Licensee. Late payments may result in the suspension of support services and temporary software license revocation.

6. Confidentiality

Each party agrees to maintain the confidentiality of all non-public information received from the other party that is designated as confidential or which, by its nature, would reasonably be understood to be confidential. This includes, but is not limited to, business methods, pricing, and internal infrastructure details.

7. Ownership and Intellectual Property

The Software is licensed, not sold. Interaction Solutions and its licensors retain all right, title, and interest in and to the Software, including all copyrights, patents, and trademarks. No ownership rights are transferred under this Agreement.

8. Limitation of Liability

To the maximum extent permitted by law, Interaction Solutions shall not be liable for any indirect, incidental, or consequential damages (including loss of profits). Interaction Solutions' total aggregate liability under this Agreement shall be limited to the fees paid by the Licensee during the preceding 12-month period.

9. Governing Law

This Agreement and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in Queensland.
